By creating an account, accessing or using D. Clinic (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are accepting on behalf of a clinic or organisation, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, do not use the Service.
D. Clinic is a cloud-based clinic management platform that provides tools for appointment scheduling, electronic health records (EHR), digital prescriptions, billing in Nepali Rupees (NPR), SMS reminders, reporting and related clinic operations. The Service is operated by dworklabs and is designed for use by medical clinics, doctors, and their authorised staff in Nepal.
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
We may offer a 14-day free trial with full access to the Service. No payment details are required to start a trial. At the end of the trial period, you must subscribe to a paid plan to continue using the Service. We reserve the right to modify or discontinue the free trial offer at any time.
The Service, including its software, design, text, graphics, logos and other content, is owned by dworklabs and protected by applicable intellectual property laws. These Terms do not grant you any ownership rights in the Service. You retain ownership of all data and content you upload to the Service (your “Clinic Data”). By using the Service, you grant us a limited licence to process your Clinic Data solely to provide and improve the Service as described in our Privacy Policy.
You are solely responsible for ensuring that your use of the Service — including the collection, storage and processing of patient health information — complies with all applicable laws in Nepal, including medical confidentiality obligations and any applicable electronic transaction or privacy regulations. D. Clinic acts as a data processor on your instruction. You represent that you have obtained all necessary consents from patients whose data you enter into the Service.
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components. You use the Service at your own risk.
To the fullest extent permitted by applicable law, dworklabs and its officers, directors, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages. Our total aggregate liability to you for any claim arising out of these Terms or the Service shall not exceed the amount you paid us in the three months preceding the event giving rise to the claim.
You may terminate your account at any time by contacting us or through your account settings. We may suspend or terminate your access to the Service immediately, without prior notice, if you breach these Terms or if we reasonably believe your use poses a risk to other users, the Service, or third parties. Upon termination, you may request an export of your Clinic Data within 30 days, after which we may delete it in accordance with our Privacy Policy.
These Terms are governed by the laws of Nepal. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts of Kathmandu, Nepal. If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date and notify you within the Service or by email. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service.
